We are delighted to announce the successful completion of another publication project: the Handbook for Management Board Members and Managing Directors, edited by Susanne Kalss together with Stephan Frotz and Paul Schörghofer and published by facultas verlag, is now available in its new 2nd edition.
The 2nd edition of the handbook offers a wealth of knowledge on over 1,600 pages for anyone who serves as a member of a management body of a stock corporation, limited liability company, flexible company (FlexCo) or other legal entity. While the 1st edition was still the handbook for the management board, the new edition now not only prominently includes the particularly relevant position of managing director of a limited liability company or FlexCo in the title, but also expands the handbook with corresponding specialist articles. For the 2nd edition, changes in statutory law as well as relevant case law have been incorporated and the handbook has further been supplemented with articles on current topics.
This literary work is very special for FRRA, as no less than six of our attorneys have made significant contributions to it:
Stephan Frotz and Paul Schörghofer are not only co-editors of the handbook, but have also contributed as authors, writing joint articles on the topics of the composition of the management board and the requirements for its members, as well as on the management board in a group of companies.
Georg Riedl has co-authored an article with Susanne Kalss on the topic of the management board and the annual general meeting.
Clemens Spitznagel’s contribution addresses the organisational constitution of the management board, focusing in particular on the distribution of responsibilities, rules of procedure and internal decision-making.
Florian Wünscher outlines the various types of appointment and dismissal of managing directors and also deals with internal limits of management authority, such as shareholder instructions and allocation of responsibilities among managing directors.
In his contribution, Nikolaus Feldscher provides practical insights into the special features of the management of a FlexCo, which are associated with the new legal form, and in this context also deals in particular with the handling of enterprise value shares, which are new to Austrian company law.

The Handbook Supervisory Board, edited by Susanne Kalss and Peter Kunz, has also been published in a new 3rd edition and features joint articles by Stephan Frotz and Paul Schörghofer on the tasks of the supervisory board and conflicts of interest.
