Florian Wünscher writes about the changes to the law of cooperatives introduced by the GenRÄG 2024. With the beginning of 2025, various changes to the law of cooperatives will come into force, including the abolition of cooperatives with unlimited liability and share liability, the possibility of converting associations into cooperatives and the flexibilization of the obligation to make additional contributions.
Paul Schörghofer comments on a decision by the Austrian Supreme Court (OGH) on the formal requirement of Section 76 (2) of the Austrian Limited Liability Companies Act (GmbHG). In this decision the OGH dealt with the question of whether the transfer of the position of trustor in the case of GmbH shares held in trust requires a notarial deed.
